1. About us
The Safety Wholesale website is operated by IndustraCare Limited, trading as Safety Wholesale.
IndustraCare Limited is registered in England and Wales under company number 09124713.
Registered office:
Safety Wholesale
Unit 6 Catkin Way
Bishop Auckland
County Durham
DL14 9TF
United Kingdom
Email: sales@safetywholesale.co.uk
In these Terms, “Safety Wholesale”, “we”, “us” and “our” refer to IndustraCare Limited.
2. When these Terms apply
These Terms apply to:
-
Your use of the Safety Wholesale website;
-
Orders placed through the website;
-
Orders placed following a quotation;
-
Telephone or email orders, where applicable; and
-
Orders made using a trade or credit account.
By placing an order, you agree to these Terms and our Refund and Returns Policy, Delivery Information and Privacy Policy.
If you purchase wholly or mainly for personal use, you are a Consumer. If you purchase wholly or mainly for a trade, profession or business, you are a Business Customer.
Some provisions apply differently to Consumers and Business Customers. Nothing in these Terms removes rights that cannot legally be excluded.
3. Website availability
We try to keep the website available and accurate, but we do not guarantee uninterrupted or error-free access.
We may suspend, withdraw, update or restrict any part of the website for maintenance, security, operational or legal reasons.
You must not misuse the website, attempt to gain unauthorised access, introduce malicious code or interfere with its operation.
4. Product information
We take reasonable care to ensure product descriptions, photographs, specifications, dimensions and prices are accurate.
However:
-
Product images are illustrative;
-
Colours may vary between screens and production batches;
-
Dimensions and weights may be subject to reasonable manufacturing tolerances;
-
Packaging may change;
-
Manufacturers may update a product without materially changing its function; and
-
Product availability may change without notice.
If an important product specification changes after you order, we will contact you before supplying a materially different product.
5. Product suitability and safety
You are responsible for checking that a product is suitable for its intended location, environment and purpose before ordering, installing or using it.
Product finders, guides, descriptions and recommendations provide general assistance only. They do not replace a site-specific risk assessment, professional advice, applicable legislation or manufacturer instructions.
Safety-critical products must be selected, installed, commissioned, inspected and maintained by suitably competent people where required.
You must follow all supplied instructions, warnings, technical data and maintenance requirements.
This section does not limit our responsibility for supplying goods that are faulty, unsafe, incorrectly described or otherwise non-compliant.
6. Prices and VAT
Prices are displayed in pounds sterling.
Because Safety Wholesale primarily supplies trade and business customers, some prices may initially be shown excluding VAT. Where available, the VAT switch displays an indicative VAT-inclusive or VAT-exclusive price.
The basket and checkout show the amount payable, including applicable VAT and delivery charges, before the order is submitted.
If a pricing or VAT error is discovered, we may contact you for instructions or cancel the affected item and issue a refund. We will not knowingly supply an item at an obviously incorrect price.
7. Placing an order
Your order is an offer to purchase the products listed in the basket.
An automated order acknowledgement confirms that we have received your order. It does not necessarily mean that the order has been accepted.
A contract is formed when we:
-
Send a dispatch confirmation;
-
Confirm acceptance of a made-to-order or manufacturer-direct order; or
-
Otherwise expressly confirm acceptance in writing.
We may decline or cancel an order before acceptance if:
-
The product is unavailable;
-
Payment cannot be authorised;
-
Delivery is not available to the supplied address;
-
Product, price or delivery information contains a material error;
-
We reasonably suspect fraud or misuse; or
-
An applicable legal or regulatory restriction prevents supply.
If payment has already been taken for an order we do not accept, we will refund it.
8. Quotations
Quotations are valid for the period stated on the quotation. If no period is stated, the quotation is normally valid for 30 days.
A quotation is not an acceptance of an order unless expressly stated otherwise.
Quoted prices, delivery charges and lead times may be based on the quantities, specifications and delivery information supplied by the customer. We may revise a quotation if this information changes.
9. Payment
Payment must be made using an accepted payment method at checkout unless approved credit terms have been agreed.
You confirm that you are authorised to use the selected payment method.
Approved trade and credit accounts are subject to separate credit limits and payment terms. We may suspend an account or withhold further supply where invoices are overdue.
For Business Customers, we reserve the right to claim statutory interest, compensation and reasonable recovery costs for late commercial payments where permitted by law.
10. Purchase orders
You may provide a purchase order number in the basket or during the ordering process.
A purchase order number is treated as a customer reference only. Terms printed on or attached to a customer purchase order do not replace these Terms unless a change has been expressly agreed in writing by an authorised representative of Safety Wholesale.
11. Discounts and promotions
Bulk discounts, quantity breaks, promotional codes and account pricing apply only where shown or agreed.
Unless expressly stated:
-
Discounts cannot be combined;
-
Discounts apply only to qualifying quantities in the same order;
-
Delivery charges are excluded;
-
Discounts may be changed or withdrawn before an order is accepted; and
-
Returns may reduce the quantity purchased and therefore affect the discount originally applied.
If a partial return means an order no longer qualifies for a quantity discount, we may recalculate the retained products at the applicable quantity price and adjust the refund accordingly.
12. Delivery area
We deliver only to UK Mainland addresses served by our carriers.
UK Mainland generally means England, Scotland and Wales, excluding offshore islands and locations classified by our carriers as non-mainland or requiring specialist delivery.
We do not currently offer standard delivery to Northern Ireland, the Channel Islands, the Isle of Man or other non-mainland locations.
Click and collect can be arranged for goods by prior agreement. Goods may also be palletised and wrapped for collection by a customer-appointed freight forwarder.
13. Delivery times
Delivery estimates are shown on product pages, at checkout, in quotations or in order communications.
Times such as “1–5 working days” are estimates unless we expressly agree a guaranteed delivery date.
Some products are dispatched directly by a manufacturer. Different items in the same order may arrive separately and on different dates.
For Consumers, goods will be delivered without undue delay and normally within 30 days unless another delivery period has been agreed.
Please do not arrange installers, contractors, machinery or site access until the goods have arrived and been inspected.
14. Large and pallet deliveries
You must provide accurate delivery information and tell us about restricted access, weight limits, low bridges, pedestrian zones, delivery-time restrictions or other relevant conditions.
Unless agreed otherwise, delivery is kerbside. The customer is responsible for providing suitable people and equipment to move goods from the delivery point.
Additional charges arising from failed delivery, refused delivery, inaccurate information or unsuitable site access may be charged to Business Customers and, where legally permitted and disclosed, to Consumers.
15. Click and collect and freight forwarders
Collection must be arranged and confirmed in advance.
We may palletise and wrap goods for collection by your freight forwarder. Any additional preparation charge will be agreed before the service is provided.
Where you appoint a freight forwarder or other carrier independently:
-
Our delivery obligation is completed when the goods are handed to that carrier;
-
You are responsible for onward transport and insurance;
-
You are responsible for export documents, customs requirements and overseas compliance; and
-
We are not responsible for loss or damage occurring after handover to your carrier.
This does not affect responsibility for faults or defects that existed at the time of handover.
16. Risk and ownership
For Consumers, risk passes when the goods are delivered to you or to a person you have identified to receive them. If you independently appoint a carrier that we did not offer, risk may pass when the goods are handed to that carrier.
For Business Customers, risk passes on delivery, collection or handover to the customer’s nominated carrier.
Ownership of goods does not pass until we have received full cleared payment for them and any directly related charges.
17. Inspection after delivery
Please inspect goods as soon as reasonably possible.
Visible delivery damage, missing parcels or incorrect products should be reported promptly to sales@safetywholesale.co.uk, preferably with photographs of the product, packaging and delivery label.
Prompt reporting helps us investigate with the carrier or manufacturer. It does not reduce a Consumer’s statutory rights.
18. Cancellations, returns and refunds
Cancellations, change-of-mind returns, collection charges, restocking fees and refunds are governed by our separate Refund and Returns Policy, which forms part of these Terms.
Manufacturer-shipped change-of-mind returns may be subject to:
-
A £25 collection charge; and
-
A 15% manufacturer restocking fee.
These charges do not override statutory Consumer rights and will not apply where goods are confirmed as faulty, damaged on delivery or incorrectly supplied.
19. Made-to-order and personalised products
Products made to your dimensions, specifications or instructions, or which are clearly personalised, may enter production shortly after the order is accepted.
Such products cannot normally be cancelled or returned for change of mind once production has begun.
This does not affect rights relating to faulty, damaged, unsafe or incorrectly manufactured goods.
20. Faulty goods and warranties
Goods must be as described, of satisfactory quality and fit for any purpose expressly agreed with us.
Some products include a manufacturer warranty. Warranty terms vary by product and manufacturer.
A manufacturer warranty is additional to applicable statutory rights and does not replace them.
Damage caused by incorrect installation, misuse, unauthorised alteration, accidental damage, inadequate maintenance, normal wear or failure to follow instructions may not be covered.
21. Optional accessories
Accessories selected on a product page are separate products unless expressly stated otherwise.
You are responsible for checking quantities, compatibility and suitability before ordering. Contact sales@safetywholesale.co.uk if you are unsure.
Where our website expressly identifies an accessory as compatible with a particular product, we are responsible for the accuracy of that representation.
22. Liability to Consumers
We are responsible for foreseeable loss or damage caused by our breach of these Terms or our failure to use reasonable care and skill.
We are not responsible for loss that was not foreseeable or for business losses arising from a Consumer purchase.
Nothing in these Terms excludes or limits liability where doing so would be unlawful, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or defective products where liability cannot legally be excluded.
23. Liability to Business Customers
Nothing in these Terms excludes or limits liability for:
-
Death or personal injury caused by negligence;
-
Fraud or fraudulent misrepresentation;
-
Breach of obligations that cannot legally be excluded; or
-
Any other liability that cannot be limited by law.
Subject to the above, we will not be liable to a Business Customer for indirect or consequential loss, loss of profit, revenue, contracts, business, anticipated savings, data or goodwill.
Our total aggregate liability arising from an affected order will not normally exceed the total price paid or payable for that order.
Business Customers are responsible for conducting suitable risk assessments and ensuring products are properly selected, installed, used and maintained.
24. Events outside our control
We are not responsible for delay or failure caused by circumstances outside our reasonable control, including severe weather, transport disruption, industrial action, utility or network failure, supplier disruption, fire, flood, epidemic, government action or import restrictions.
We will take reasonable steps to reduce the effect of the event and will contact affected customers where practicable.
Consumer rights to cancel because of significant delay remain unaffected.
25. Intellectual property
The website and its content—including text, layout, graphics, logos, photographs and software—are owned by or licensed to IndustraCare Limited and are protected by intellectual-property law.
You may use the website for lawful purchasing and information purposes. You may not copy, reproduce, scrape, republish or commercially exploit its content without permission.
Manufacturer names, product names and trademarks belong to their respective owners.
26. Personal information
We process personal information in accordance with our Privacy Policy.
You are responsible for ensuring that information supplied when placing an order or applying for an account is accurate and that you are authorised to provide it.
27. Changes to these Terms
We may update these Terms from time to time. The Terms displayed when your order is placed will normally apply to that order.
Changes will not retrospectively alter an accepted order unless required by law or agreed with you.
28. Severability and waiver
If any provision is found to be invalid or unenforceable, the remaining provisions will continue in effect.
A delay in enforcing a right does not mean that right has been waived.
29. Third-party rights
Unless expressly stated, no person other than you and IndustraCare Limited has a right to enforce these Terms.
30. Governing law
These Terms are governed by the laws of England and Wales.
If you are a Consumer resident elsewhere in the United Kingdom, you retain any mandatory protections available to you and may be entitled to bring proceedings in your local courts.
Business Customers agree that the courts of England and Wales have exclusive jurisdiction.
